By declaring a portal operator’s registration effective, the Department does not represent that it endorses or approves of every aspect of the portal operator’s business. The securities offered on the portal have not been recommended by any federal or state securities commission or division or other regulatory authority. Thus, in making an investment decision, purchasers must rely on their own examination of the issuer and the terms of the offering, including the merits and risks involved.

Registered Portal Operator Renewal Instructions
Per MN Statute 80A.461 Subdivision 7 (b): A portal operator's registration expires 12 months from the date the administrator has approved the entity as a portal operator and subsequent registration for the succeeding 12-month period shall be issued upon written application and upon payment of a renewal fee of $200, without filing of further statements or furnishing any further information, unless specifically requested by the administrator.
To renew a portal operator registration, the portal operator must submit a MNvest portal operator registration form (found below) marked to indicate it is an application for renewal, along with the fee required by Minnesota Statutes, section 80A.461, subdivision 7, paragraph (b), to the administrator at least 15 days prior to the expiration of the portal operator's registration. Unless an order is in effect under Minnesota Statutes, section 80A.67, a complete application for renewal of a portal operator registration automatically becomes effective 16 days after the administrator receives the renewal application, or immediately upon the expiration of the portal operator's existing registration, whichever occurs later.
Applications marked for renewal and the renewal payment must be received by the MN Department of Commerce before the above-referenced deadline. The renewal application and the $200.00 payment has to be mailed to:
